1. Agreement

By accessing or using RapCreate (the Service), you agree to these Terms of Service (Terms). If you do not agree, do not use the Service.

2. Accounts

You are responsible for the security of your account and for all activity that occurs under it.

3. Subscriptions and Billing

• Paid plans: Some features require a paid subscription.
• Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled.
• Cancel anytime: You can cancel at any time, and your access will continue until the end of the current billing period.
• No partial refunds: We do not provide refunds or credits for partial periods, except where required by law.
• Payment processor: Payments are handled by Stripe. By subscribing, you authorize recurring charges through Stripe until you cancel.
• Price changes: We may change plan prices or features; changes take effect on your next billing period after notice.
• Taxes: Prices may exclude applicable taxes, which may be added.

4. Acceptable Use

You agree not to:

• Violate any law or infringe any third-party rights (including copyright, publicity, or privacy).
• Upload or generate content that is unlawful, harmful, hateful, harassing, or misleading.
• Interfere with or disrupt the Service, attempt to reverse engineer, or bypass security. We may remove content or suspend access for violations.

5. Your Content

• You retain ownership of the content you submit, upload, record, or generate using the Service (User Content).
• You grant RapCreate a worldwide, non-exclusive, royalty-free license to host, process, store, transmit, and display your User Content as needed to operate and improve the Service and to provide support.
• You represent and warrant that you have the rights to your User Content and that its use on the Service will not infringe any rights.

6. Our Beats and the Service

• RapCreate owns all right, title, and interest in and to the Service, including the beats, software, designs, and trademarks made available through the Service.
• You are not granted any rights in our beats or the Service except for the limited right to access and use the Service as provided in these Terms.
• You may not extract, redistribute, or sell our beats on a standalone basis.

7. Third-Party Services and Providers

The Service integrates with third-party providers:

• OpenAI for lyrics/text generation.
• Microsoft for text-to-speech (TTS). Speech may be processed and transformed by our algorithms to match the beat.
• Stripe for payment processing.

Your use of these features may involve sending data to these providers solely to deliver the Service’s functionality.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if we discontinue the Service. Upon termination, rights granted to you under these Terms will end.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind. RapCreate disclaims all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, RapCreate will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits or revenues, whether incurred directly or indirectly, or loss of data, use, or goodwill. RapCreate’s aggregate liability arising out of or relating to the Service will not exceed the amount you paid to RapCreate in the 12 months before the event giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless RapCreate from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or your User Content, including claims alleging infringement or violation of law.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or in the Service). Your continued use after the effective date of changes constitutes acceptance of the updated Terms.

  • Generating lyrics/text using OpenAI.
  • Producing text-to-speech using Microsoft and transforming speech to match beats.

• Maintain, secure, troubleshoot, and improve the Service.
• Communicate with you about your account, updates, and support.
• Enforce our Terms and protect against fraud, abuse, and security risks. We do not use your User Content to train our or our providers’ machine learning models.

4. Processing by Service Providers

To deliver core functionality, we share limited data with:

• OpenAI: Processes text prompts and generated text solely to provide lyrics/text generation.
• Microsoft (Azure AI Speech).
• Stripe: Processes payments and related billing information.

These providers act as processors for us. We contractually restrict their use of data to providing their services to us.

5. Data Retention

• Account data: Retained while your account is active and as needed to comply with legal obligations or resolve disputes.
• Content (lyrics, audio, TTS, mixes): Retained so you can access your projects and for Service functionality. You may delete projects; we may retain backups for a limited period.
• Logs and diagnostics: Retained for a limited time for security and performance.

6. Cookies and Similar Technologies

We use cookies or similar technologies for essential functions, security, and performance. You can control cookies through your browser settings. Disabling cookies may affect functionality.

7. Data Sharing

We share information with:

• Service providers listed above.
• Professional advisors, auditors, or authorities when legally required.
• In a merger, acquisition, or asset sale, your information may be transferred subject to this Policy. We do not sell personal information.
